Why is AI Governance a priority now?
Artificial intelligence has evolved from a laboratory phenomenon into an operational component of hundreds of daily business processes. From automated credit assessments and fraud detection to HR screening, churn prediction, and medical diagnosis support: AI systems increasingly make decisions with direct consequences for people. This brings risks that require structured governance—and that is precisely what AI Governance addresses.
Three developments make AI Governance increasingly urgent in 2025. First, the **EU AI Act**, which entered into force in August 2024 and will be applied gradually until 2027. Second, growing legal liability around algorithmic decision-making, fueled by case law such as the Dutch SyRI ruling. Third, the **reputational risk** of AI incidents: bias in a recruitment algorithm or an incorrect insurance claim denial by an AI system can cause serious reputational damage in a short time.
ISO 42001 Explained: What is ISO 42001?
ISO/IEC 42001:2023 is the first international standard for an Artificial Intelligence Management System (AIMS). Published in December 2023, the standard provides a structured framework for organisations that want to develop, deploy and manage AI responsibly. Like ISO 27001 for information security and ISO 9001 for quality management, ISO 42001 does not prescribe which technical solutions you must implement, but how you organise the management process.
The standard applies to three types of organizations: organizations that **develop** AI systems, organizations that **deploy** AI systems (including purchased systems), and organizations that provide AI-related products or services as part of their service delivery. In practice, this means that almost any organization that uses modern business software qualifies for ISO 42001 implementation.
The EU AI Act: obligations by risk category
The EU AI Act introduces a risk-based approach in which AI systems are classified into four categories:
- Unacceptable risk (prohibited): AI systems that pose an unacceptable threat to rights and freedoms. Examples: real-time biometric identification in public spaces by government authorities (without specific legal basis), government social scoring, manipulative AI targeting vulnerable groups.
- High risk (Annex III): AI systems used in critical sectors or applications. Examples: AI in medical diagnosis, CV screening in HR, credit scoring, border control, AI in critical infrastructure. For these systems, mandatory conformity assessments, technical documentation, human oversight, and risk management systems apply. Penalties for violations: up to EUR30 million or 6% of global turnover.
- Limited risk: Systems with transparency obligations. Chatbots must make clear that the user is communicating with AI. Deepfakes must be labeled as such.
- Minimal risk: Most AI systems fall here. It is recommended to voluntarily follow a code of conduct.
ISO 42001 provides an excellent operational framework for meeting EU AI Act requirements for high-risk AI systems. The standard covers requirements for risk management systems, data quality, technical documentation, transparency, human oversight, and robustness.
The core components of ISO 42001
Context and scope: The organization determines the context—internal and external—and establishes the scope of the AIMS. Which AI systems are included? Who are the relevant stakeholders? What are the expectations and requirements? This also includes identifying all AI systems the organization uses, including purchased applications with AI functionality.
Leadership and governance: Top management establishes an AI policy and assigns responsibilities. An AI owner (or AI officer) is appointed. The standard requires that AI risks are explicitly integrated into the organization's enterprise risk management processes.
AI-specific risk analysis: ISO 42001 introduces an AI Impact Assessment—similar to the DPIA in the GDPR but broader. This includes assessment of bias risks, uncertainty in model outcomes, possible misuse scenarios, privacy risks, and potential for societal harm. Risk analysis must be repeated periodically, especially when the AI system or usage context changes.
Lifecycle controls: ISO 42001 describes measures for all phases of the AI lifecycle. In **data preparation**: quality assurance of training data, documentation of data sources, assessment of representativeness. In **model development**: documentation of architecture choices, validation methods, bias evaluations. In **deployment**: monitoring of outcomes in production, anomaly detection, human oversight mechanisms. In **phase-out**: secure deletion of models and training data.
Transparency and explainability: Individuals affected by automated decisions have the right to explanation. ISO 42001 requires organizations to establish processes for generating explanations for AI decisions and for handling objections. This aligns closely with GDPR Article 22 on automated decision-making.
Supplier management: Many organizations use AI systems developed externally or foundation models (such as ChatGPT, Claude, or Google Gemini) via APIs. ISO 42001 requires that risks are assessed for purchased AI systems as well, and contractual arrangements are made regarding responsibility, transparency, and audit.
ISO 42001 and ISO 27001: efficient integration
ISO 42001 is harmonized with the High Level Structure (HLS) used by ISO 27001, ISO 9001, ISO 22301, and other management system standards. This makes integration straightforward: the policy hierarchy, risk assessment methodology, internal audit process, and management review can largely be reused. Organizations with an existing ISMS only need to add the AI-specific elements, not rebuild the entire management system.

Practical roadmap: from zero to AI Governance
Start with an **AI inventory**: which AI systems does your organization use, including SaaS applications with built-in AI functionality, purchased models, and internally developed algorithms? Then perform an EU AI Act classification: do systems fall into the high-risk category? If so, compliance obligations apply. Next, establish an **AI policy** that describes the principles for responsible AI use. Appoint an AI responsible officer. For the most critical systems, conduct an **AI Impact Assessment**.
